GENERAL TERMS AND CONDITIONS
OF MFVadio.com-Mission Freedom Ltd Platform

1. Subject Matter and Scope of the Contract
MFVadio.com-Mission Freedom Ltd (hereinafter referred to as "MFVadio.com-Mission Freedom Ltd") operates the online platform MFVadio.com, accessible through various domains and partner sites (hereinafter referred to as "Platform"). The Platform offers a marketplace for businesses such as commercial providers, brokers, developers, etc. (hereinafter referred to as "Commercial Customers"), as well as for consumers (hereinafter referred to as "Private Customers") (collectively referred to as "Customers"). On this Platform, real estate offers or requests can be presented, or real estate evaluations can be carried out. The purpose is to bring together real estate providers and seekers and facilitate the purchase, sale, and rental of properties. Additionally, the Platform offers further partner services in the real estate market, such as property financing.

The services of MFVadio.com-Mission Freedom Ltd are intended exclusively for adult and fully legally competent customers. Conflicting terms and conditions of the customer do not apply.

For better readability, simultaneous use of male, female, and diverse language forms is omitted. All personal designations apply equally to all genders.

2. Registration
The conclusion of contracts for paid services, as well as the use of registration-required services, generally requires customer registration. The data requested during registration must be provided accurately. The user must not provide data from third parties and is also obliged to promptly notify MFVadio.com-Mission Freedom Ltd of any changes to the data, including those that may have occurred between an earlier registration and the conclusion of the contract.

3. Services Provided by MFVadio.com-Mission Freedom Ltd
3.1 Real Estate Listings
The customer can list real estate offers that comply with the provisions of Section 4 of these General Terms and Conditions on the Platform (referred to as an Insertion Contract). The real estate offers posted by the customer are accessible through the Platform's general search function alongside other real estate offers and, if applicable, through third-party portals (referred to as "Multiple Placement").

Commercial customers have the option to manage their real estate listings through a software solution or by exporting them via an accepted format directly to the Platform using their online access. MFVadio.com-Mission Freedom Ltd is not obliged to publish or edit listings that were not created and exported using the online access for commercial customers or in an accepted format.

3.2 Real Estate Evaluation
The customer can order an online real estate evaluation through the Platform. The evaluation is initially carried out automatically based on the information provided by the customer, using an estimated value and is not subject to further verification. A specific evaluation is always conducted on a case-by-case basis, for example, by a broker on-site or remotely. This may include visiting the evaluated property, assessing the building's substance, and identifying potential defects. MFVadio.com-Mission Freedom Ltd does not assume any liability for the accuracy of the calculated property value. The applicable terms and conditions for the online real estate evaluation product apply.

3.3 Immo-Leads
3.3.1
The Immo-Leads product consists of randomly distributed leads. Upon ordering the Immo-Leads product, the commercial customer, in this case, the real estate agent, receives the following services:

  • Marketing and/or evaluation inquiries from potential sales prospects or their representatives (hereinafter referred to as "Interested Parties"), as one of a maximum of five real estate agents in the booked postal code area.
  • The marketing and/or evaluation inquiry includes at least the following mandatory fields filled in by the interested party: Last name, phone number, property location, and property type.
  • The marketing and/or evaluation inquiry by the interested party is directed to MFVadio.com-Mission Freedom Ltd based on an "order" under Cypriot jurisdiction. The contact is based on the legal grounds of "contract" or "contract initiation" under GDPR.
  • Automatic notification of marketing and/or evaluation inquiries.
  • The product may also contain the following information, though there is no permanent or ongoing claim to this information:
    • Email address of the interested party
    • Salutation of the interested party
    • Property type
    • Information about the planned sale date of the respective property

In case the interested party provides incorrect or incomplete information about the property, the background of the sale, or other details to MFVadio.com-Mission Freedom Ltd, there is no claim for a reduction or refund of the fee. MFVadio.com-Mission Freedom Ltd forwards the inquiry submitted by the interested party to the email address provided by the real estate agent. Each individual marketing and/or evaluation inquiry concerning a distinct real estate unit constitutes a lead. If an inquiry includes marketing and/or evaluation requests for several real estate units simultaneously (e.g., multiple properties or multiple residential and/or commercial units within a property), this inquiry is considered multiple leads.

No specific characteristics are guaranteed (e.g., advertising effectiveness, data accuracy, accessibility, actual sales intention of the interested party, or lead value). In particular, a business deal is not guaranteed.

Leads can be claimed for the following reasons:

  • The lead does not contain a real name (e.g., Test or Max Mustermann).
  • The phone number is provably invalid.
  • The email address is provably invalid (so-called "Mailer-Daemon" notification).
  • The contacted person provably did not initiate the marketing and/or evaluation inquiry or have it initiated by a third party.
  • The same lead was delivered within the last 3 months.

MFVadio.com-Mission Freedom Ltd will decide on the complaint at its discretion.

The following reasons do not entitle a complaint:

  • Mere inaccessibility of the interested party.
  • Lack of correspondence with the interested party.
  • The interested party lost interest in marketing and/or evaluating the property after the marketing and/or evaluation inquiry was submitted, i.e., after the lead was created. It does not matter whether the lead had already been delivered to the real estate agent or not.
  • Delay or rescheduling of the viewing appointment.

A complaint must be made by the real estate agent without delay, but no later than five working days after receiving the relevant inquiry by email to info@mission-freedom.eu Mission Freedom Ltd; otherwise, an inquiry is deemed accepted by the real estate agent. Complaints made only after the invoice has been issued will be credited with the next invoice.

3.3.2
Unless otherwise agreed, an active Insertion Contract must exist for the Immo-Leads product. The termination or expiration of an Insertion Contract does not affect the contract for the Immo-Leads product.

3.4 Profi-Leads
3.4.1
Upon ordering the Profi-Leads product, the commercial customer, in this case, the real estate agent, receives the following services:

  • Marketing and/or evaluation inquiries from potential sales prospects or their representatives (hereinafter referred to as "Interested Parties"), as one of a maximum of three real estate agents in the booked postal code area, intending to sell the property. At the request of the interested party, an exclusive lead transfer may be made in individual cases.
  • Direct transfer of a qualified lead (so-called lead transfer). The real estate agent is solely responsible for arranging appointments with interested parties.

A lead transfer regularly includes the following parameters determined by our qualification team: Last name, phone number, and email address of the interested party, property location, property type, price expectations, features, and a time window for evaluation (on-site inspection). Each interested party also agrees to be contacted. There is no claim to completeness.

If the interested party provides MFVadio.com-Mission Freedom Ltd with incorrect or incomplete information about the property, the background of the sale, or other details, there is no claim for a reduction or refund of the fee. MFVadio.com-Mission Freedom Ltd forwards the relevant information to the email address or phone number provided by the real estate agent.

Each individual marketing and/or evaluation inquiry concerning a distinct real estate unit constitutes a lead. If an inquiry includes marketing and/or evaluation requests for several real estate units simultaneously (e.g., multiple properties or multiple residential and/or commercial units within a property), this inquiry is considered multiple leads. No specific characteristics are guaranteed (e.g., advertising effectiveness, data accuracy, accessibility, actual sales intention of the interested party, etc.). In particular, a business deal and a minimum number of delivered contacts are not guaranteed.

3.4.2
Unless otherwise agreed, an active Insertion Contract must exist at the start of the contract for the Profi-Leads product. The termination or expiration of an Insertion Contract does not affect the contract for the Profi-Leads product.

3.4.3
The real estate agent is obliged to the following proof obligations:

  • Within five (5) working days after the lead transfer, the real estate agent must provide written proof (an email is sufficient) of the status of the mandate assignment (final rejection / pending approval or rejection / acceptance) to MFVadio.com-Mission Freedom Ltd. In the case of acceptance, the real estate agent must also notify the evaluation at the time of mandate assignment by email, including whether it is a simple or exclusive mandate.
  • If there is no response from the real estate agent after five (5) working days, MFVadio.com-Mission Freedom Ltd will charge the lead.
  • For contacts with pending responses, the proof obligation extends by an additional five (5) working days beyond the original five (5) working days. After the additional five (5) working days, MFVadio.com-Mission Freedom Ltd will, at its discretion, charge the lead. For general billing, point 5.3 of the General Terms and Conditions applies.
  •  
  • The real estate agent must notify MFVadio.com-Mission Freedom Ltd immediately of the sale of the property and the receipt of the broker's commission. If the notification is not made within five (5) working days after the sale of the property, the commission share payable to MFVadio.com-Mission Freedom Ltd increases by 0.1 percentage points per day. MFVadio.com-Mission Freedom Ltd also reserves the right to issue an invoice for the proportional commission based on the notarized sale price or the valuation of the property after four (4) weeks without notification of the sale.
  • The real estate agent must list the assigned property on the Platform within four (4) weeks of receiving the mandate.
  • 3.4.4
    MFVadio.com-Mission Freedom Ltd reserves the right to terminate the Profi-Leads product with the real estate agent for good cause in the event of a breach of any of the obligations set out in Section 3.4.3 and/or to temporarily or permanently exclude the real estate agent from the Profi-Leads product. MFVadio.com-Mission Freedom Ltd will consider the real estate agent's situation when making a decision and choose the less severe option. In all cases, existing claims arising from this contract remain unaffected. The exclusion does not affect other contracts concluded with MFVadio.com-Mission Freedom Ltd.

    3.5 Profi-Termin
    3.5.1
    Upon ordering the Profi-Termin product, the commercial customer, in this case, the real estate agent, receives the following services:

  • Marketing and/or evaluation inquiries from potential private real estate sellers, as one of a maximum of three real estate agents in the booked postal code area, intending to sell the property within six months. At the request of the interested party, more than three real estate agents or an exclusive appointment mediation can be assigned in individual cases.
  • Direct appointment booking with the interested party for an on-site inspection of the potential sale property.
  • Direct transfer of a qualified lead (so-called lead transfer) if a direct appointment booking is not desired or possible by the interested party. In this case, the real estate agent is responsible for arranging the appointment with the interested party.
  • An appointment booking regularly includes the following parameters determined by our qualification team: Salutation, last name, phone number, and email address of the interested party, property location, property type, price expectations, features, and a time window for evaluation (on-site inspection). Each interested party also agrees to be contacted. There is no claim to completeness.

    If the interested party provides MFVadio.com-Mission Freedom Ltd with incorrect or incomplete information about the property, the background of the sale, or other details, there is no claim for a reduction or refund of the fee. MFVadio.com-Mission Freedom Ltd forwards the relevant information to the email address or phone number provided by the real estate agent.     3.5.2
    Unless otherwise agreed, an active Insertion Contract must exist for the Profi-Termin product.

    3.5.3
    The real estate agent is obliged to the following proof obligations:

  • Within five (5) working days after the appointment booking, the real estate agent must provide written proof (an email is sufficient) of the status of the mandate assignment (final rejection / pending approval or rejection / acceptance) to MFVadio.com-Mission Freedom Ltd. In the case of acceptance, the real estate agent must also notify the evaluation at the time of mandate assignment by email, including whether it is a simple or exclusive mandate.
  • If there is no response from the real estate agent after five (5) working days, MFVadio.com-Mission Freedom Ltd may, at its discretion, charge for the appointment or lead.
  • For contacts with pending responses, the proof obligation extends by an additional five (5) working days beyond the original five (5) working days. After the additional five (5) working days, MFVadio.com-Mission Freedom Ltd may, at its discretion, charge for the appointment or lead.
  • The real estate agent must notify MFVadio.com-Mission Freedom Ltd immediately of the sale of the property and the receipt of the broker's commission. If the notification is not made within five (5) working days after the sale of the property, the commission share payable to MFVadio.com-Mission Freedom Ltd increases by 0.1 percentage points per day. MFVadio.com-Mission Freedom Ltd also reserves the right to issue an invoice for the proportional commission based on the notarized sale price or the valuation of the property after four (4) weeks without notification of the sale.
  • The real estate agent must list the assigned property on the Platform within four (4) weeks of receiving the mandate.
  • 3.5.4
    MFVadio.com-Mission Freedom Ltd reserves the right to terminate the Profi-Termin product with the real estate agent for good cause in the event of a breach of any of the obligations set out in Section 3.5.3 and/or to temporarily or permanently exclude the real estate agent from the Profi-Termin product. MFVadio.com-Mission Freedom Ltd will consider the real estate agent's situation when making a decision and choose the less severe option. In all cases, existing claims arising from this contract remain unaffected. The exclusion does not affect other contracts concluded with MFVadio.com-Mission Freedom Ltd.

    3.6 Marketing and/or Evaluation Inquiries
    If the interested party wishes to evaluate or have their property marketed by third parties, they can instruct MFVadio.com-Mission Freedom Ltd to forward their data to real estate agents or third parties involved in the evaluation of real estate.

    3.7 Property Financing Service
    MFVadio.com-Mission Freedom Ltd operates a property financing service, through which interested parties can submit non-binding inquiries to providers and intermediaries of property financing free of charge. In this context, interested parties instruct MFVadio.com-Mission Freedom Ltd to assist them in their financing projects by forwarding their data to selected property financing partners.

    3.7.1
    By ordering the MFVadio.com-Mission Freedom Ltd property financing service, the financing partner receives the following services:

  • Presentation of the company with logo and slogan at the financing form on the MFVadio.com website.
  • A financing inquiry contains at least the following mandatory fields filled in by the user: purchase price, loan amount, date of birth, salutation, last name, street, house number, postal code, city, phone number, email address, property location. Each user also agrees to be contacted.
  • Automatic notification of interested party inquiries via various state-of-the-art transmission solutions.
  • Regional placement in the desired postal code area (positions 1-3).
  • MFVadio.com-Mission Freedom Ltd forwards the inquiries submitted by the user to the email address provided by the financing partner. Additionally, no special characteristics are guaranteed (e.g., advertising effectiveness, business deals, data accuracy, etc.).

    3.7.2
    The financing partner provides MFVadio.com-Mission Freedom Ltd with the completed data sheet and logo at least three days before integration into the financing form. The financing partner commits to promptly and competently processing the financing inquiry.

    3.7.3
    The financing partner pays MFVadio.com-Mission Freedom Ltd a variable fee per interested party inquiry. The fee amount is based on the individually agreed parameters in the offer and the resulting lead price. Billing is done monthly in arrears by invoice, which is payable immediately.

    3.7.4
    Multiple inquiries submitted by the same user or inquiries where the user cannot be technically reached via any of the provided contact methods will be canceled and not charged after a complaint. Complaints must be made by the financing partner without delay, but no later than five working days after receipt of the relevant user inquiry in writing by email to info@mission-freedom.eu Mission-Freedom Ltd. Non-complained inquiries are considered approved by the financing partner. Complaints approved only after invoicing will be credited with the next invoice.

    3.7.5
    The parties ensure compliance with applicable data protection laws. Only the data provided by the user for this purpose will be forwarded to the financing partner. The user is explicitly informed of the transmission of the data they entered for the financing inquiry. The financing partner is solely responsible for processing the data transmitted to them and for providing a revocation option for future contact and data processing. The financing partner is obliged to use the inquiries received via the MFVadio.com-Mission Freedom Ltd website only in connection with these inquiries. The transfer of personal data to third parties or use for other purposes is expressly prohibited.

    3.8 Adjustment of the Service Spectrum
    Due to the rapid pace of change in technologies and markets, MFVadio.com-Mission Freedom Ltd reserves the right to adjust, discontinue, or include individual products and services in the service spectrum. In such a case, MFVadio.com-Mission Freedom Ltd will seek an appropriate individual solution with the customer. Free services can be discontinued unilaterally at any time.

    4. Customer Responsibility and Content of Real Estate Listings
    4.1
    The customer is responsible to MFVadio.com-Mission Freedom Ltd for:

  • The legal and factual completeness and accuracy of the data, offers, and other information they have posted, as well as
  • Compliance with applicable legal regulations.
  • If the customer is a commercial provider, they are responsible for compliance with the relevant legal regulations in connection with initiating and concluding their own contracts with third parties (e.g., brokerage contract with real estate clients).
     

    4.2
    If MFVadio.com-Mission Freedom Ltd is held liable by a third party due to incorrect, faulty, incomplete, or unlawful data, offers, or other information or content in the real estate listing or linked content for which the customer is responsible, without MFVadio.com-Mission Freedom Ltd being at fault, the customer must indemnify MFVadio.com-Mission Freedom Ltd from all damages, costs, fines, and obligations, including reasonable legal defense costs.

    4.3
    Notwithstanding this responsibility of the customer, the following requirements apply to the real estate listings covered by the contract:

  • The subject of the real estate listings must be real estate properties available for purchase, rent, or lease and offered on the real estate market; properties that are no longer available and offered must be deleted by the customer without delay.
  • Property information must be complete and accurate in legal and factual terms.
  • Repeated posting or changes to the same real estate object within a short period is prohibited and may be deactivated by MFVadio.com-Mission Freedom Ltd.
  • Real estate listings from commercial customers must not be unduly overlaid with promotional content from the customer's company; specifically, the following criteria apply:
    • Images must show the offered object or parts of it; the insertion of company logos, representations of the customer, or other non-object-related motifs must have significantly subordinate importance to the individual image.
    • Verbal company descriptions and/or references to the customer's or third-party websites within the property listing that exceed the legally required provider identification, slogan, and/or brief descriptive addition must be avoided.
    • Information about the real estate listings must be freely accessible to the user and must not include redirects to paid internet or telephone services.
    • Type and prefabricated house offers, projected real estate projects, and foreclosures must be labeled as such by the customer and will only be presented through appropriate selection or a specific category on the Platform.
  • 4.4
    For the Immo-Leads product according to Section 3.3, the real estate agent must provide MFVadio.com-Mission Freedom Ltd with the email address for submitting inquiries at least three days before the start of the cooperation. The real estate agent commits to promptly and competently processing the marketing inquiry.

    5. Prices, Payment, and Delivery Terms
    5.1
    The remuneration for the respective contract period of the real estate listing products (Section 3.1 of the General Terms and Conditions) and real estate evaluation (Section 3.2 of the General Terms and Conditions) is to be paid in advance and is due for payment immediately after the order is placed and thereafter at the beginning of each subsequent contract period.

    5.2
    For the Immo-Leads product (Section 3.3 of the General Terms and Conditions), the real estate agent pays a variable fee per marketing and/or evaluation inquiry (lead), unless otherwise agreed. The fee amount is determined based on the respective remuneration model according to the main contract offer. Billing is done monthly in arrears by invoice, which is payable immediately.

    5.3
    For the Profi-Leads product (Section 3.4 of the General Terms and Conditions), the real estate agent pays a fee for each lead qualified by MFVadio.com-Mission Freedom Ltd and delivered to the real estate agent, unless otherwise agreed. In the event of a successful sale of the property mediated by MFVadio.com-Mission Freedom Ltd by the real estate agent, a proportionate sum of the broker's commission is also payable. The amount of the flat fee and the percentage share of the broker's commission to be paid upon sale will be determined in the individual offer.

    Invoicing for the lead transfer is done automatically ten (10) days after a lead has been delivered, regardless of whether an appointment has actually taken place between the real estate agent and the interested party.

    Invoicing of the proportionate broker's commission occurs after notification of the sale of the mediated property, no later than four (4) weeks after notification of the sale. The amount of the proportionate broker's commission is based on the notarized sale price or the valuation of the property. Notification to MFVadio.com-Mission Freedom Ltd of the sale and/or the notarized sale price can also be made by third parties.

    If a property is removed from the Platform without the real estate agent notifying MFVadio.com-Mission Freedom Ltd of a sale, or if the real estate agent does not comply with the proof and action obligations according to Section 3.4.3 in a timely manner or despite a request from MFVadio.com-Mission Freedom Ltd, a successful sale of the property will be assumed.

    5.4
    For the Profi-Termin product (Section 3.5 of the General Terms and Conditions), the real estate agent pays a fee for each appointment or lead delivery arranged by MFVadio.com-Mission Freedom Ltd, unless otherwise agreed. In the event of a successful sale of the property mediated by MFVadio.com-Mission Freedom Ltd by the real estate agent, a proportionate sum of the broker's commission is also payable. The amount of the flat fee and the percentage share of the broker's commission to be paid upon sale will be determined in the individual offer.

    Invoicing for the appointment fee or lead delivery is done automatically five (5) days after a lead has been delivered or an appointment has been arranged, regardless of whether an appointment has actually taken place.

    Invoicing of the proportionate broker's commission occurs after notification of the sale of the mediated property, no later than four (4) weeks after notification of the sale.

    The obligation to pay the fee does not apply if

  • The real estate agent proves that a valuation has already been carried out for the listed property within the last 6 months or that the real estate agent has already brokered the property.
  • An interested party irrevocably rejects the option of an on-site inspection, i.e., cancels the appointment and does not wish to arrange any further replacement appointments.
  • 5.10
    If a direct debit agreed with the customer fails due to insufficient funds in the customer's account or due to the customer's culpable behavior, MFVadio.com-Mission Freedom Ltd may claim reimbursement from the customer for the return debit fee charged to MFVadio.com-Mission Freedom Ltd by the involved bank. This does not apply if MFVadio.com-Mission Freedom Ltd did not or did not timely inform the customer about the timing of the direct debit and the amount to be debited. The information is considered timely if it was transmitted in compliance with the applicable or contractually agreed pre-notification period with the customer.

    5.11
    In the event of the customer's default in payment for more than 30 days, MFVadio.com-Mission Freedom Ltd may demand payment of the entire amount for the remaining contract term.

    5.12
    MFVadio.com-Mission Freedom Ltd is entitled to adjust prices at the beginning of the next contract term for commercial customers. To this end, the customer will receive an overview of the new total price, including any applicable base prices and/or discounts, no later than ten days before the start of the new contract period. If there is a price increase of more than 15% of the total price valid until that time, the customer has the right to object; this objection must be made in writing within 15 days of notification of the price change. In the event of a valid objection, the price adjustment will not take effect.

    5.13
    MFVadio.com-Mission Freedom Ltd is entitled to adjust prices due to increased costs for commercial customers. MFVadio.com-Mission Freedom Ltd may adjust agreed prices

    These proofs must be provided within five (5) working days of receipt of the appointment arrangement or lead delivery. The proof is to be sent to leads@MFVadio.com-Mission Freedom Ltd. MFVadio.com-Mission Freedom Ltd reserves the right to recognize other reasons in individual cases that result in the obligation to pay the fee being waived. Otherwise, the real estate agent's statutory rights remain unaffected. If MFVadio.com-Mission Freedom Ltd recognizes the waiver of the fee obligation only after invoicing, a credit will be issued with the next invoice or billed separately.

    5.5
    Invoicing can be done electronically or physically in text form at the discretion of MFVadio.com-Mission Freedom Ltd.

    5.6
    MFVadio.com-Mission Freedom Ltd may offer different payment methods, but there is no entitlement that all payment methods are always available to the customer. The terms and conditions of the respective payment system provider apply exclusively to the payment process.

    5.7
    If SEPA direct debit has been agreed for payment, MFVadio.com-Mission Freedom Ltd is obliged to inform the customer of the amount and the debit date in advance. The pre-notification is given no later than one working day before the account is debited.

    5.8
    If the customer chooses PayPal as the payment method, they pay the fee without disclosing their bank details to MFVadio.com-Mission Freedom Ltd. Instead, an automatic debit (electronic direct debit) or charge (credit card payment) occurs exclusively between the customer and PayPal. According to PayPal's terms of use, the customer may incur additional fees when using the PayPal service. To pay via PayPal, the customer must have or create a user account with PayPal. According to PayPal's terms of use, PayPal reserves the right to debit the payment amounts from the customer's PayPal account.

    5.9
    If the customer fails to meet their payment obligations or payments are returned or charged back, MFVadio.com-Mission Freedom Ltd, without prejudice to further claims, is entitled to block the customer's access to the Platform, remove the customer's listings from the Platform, and/or stop providing other services. If the blocking is due to outstanding payment claims and the customer settles them, access will be unblocked. Furthermore, MFVadio.com-Mission Freedom Ltd may charge the customer a reasonable dunning fee for each reminder. This does not apply if the reminder is the first to establish default.

    5.10
    If a direct debit agreed with the customer fails due to insufficient funds in the customer's account or due to the customer's culpable behavior, MFVadio.com-Mission Freedom Ltd may claim reimbursement from the customer for the return debit fee charged to MFVadio.com-Mission Freedom Ltd by the involved bank. This does not apply if MFVadio.com-Mission Freedom Ltd did not or did not timely inform the customer about the timing of the direct debit and the amount to be debited. The information is considered timely if it was transmitted in compliance with the applicable or contractually agreed pre-notification period with the customer.

    5.11
    In the event of the customer's default in payment for more than 30 days, MFVadio.com-Mission Freedom Ltd may demand payment of the entire amount for the remaining contract term.

    5.12
    MFVadio.com-Mission Freedom Ltd is entitled to adjust prices at the beginning of the next contract term for commercial customers. To this end, the customer will receive an overview of the new total price, including any applicable base prices and/or discounts, no later than ten days before the start of the new contract period. If there is a price increase of more than 15% of the total price valid until that time, the customer has the right to object; this objection must be made in writing within 15 days of notification of the price change. In the event of a valid objection, the price adjustment will not take effect.

    5.13
    MFVadio.com-Mission Freedom Ltd is entitled to adjust prices due to increased costs for commercial customers. MFVadio.com-Mission Freedom Ltd may adjust agreed prices reasonably for the future according to the development of the costs incurred at MFVadio.com-Mission Freedom Ltd, which usually affect prices. The costs incurred include, in particular, the costs of providing, maintaining, operating, and using the Platform, as well as the services associated with the service, such as IT infrastructure, upstream products, technical service, customer management, such as service hotline and billing systems, as well as personnel and service costs, energy costs, overhead costs, such as administration, marketing, rents, or interest, as well as state-imposed charges such as taxes, fees, and contributions. MFVadio.com-Mission Freedom Ltd is entitled to adjust prices to cover additional costs and will offset cost reductions against total cost increases. MFVadio.com-Mission Freedom Ltd will inform the customer of such a price increase due to cost increases in a timely manner, at least in text form. If there is a price increase of more than 10% per calendar year, the customer has the right to object. This objection must be made in writing within 15 days of notification of the price adjustment. In the event of a valid objection, the price adjustment will not take effect.

    5.14
    MFVadio.com-Mission Freedom Ltd is entitled to adjust prices in connection with its own platform, service, and product improvements for commercial customers. MFVadio.com-Mission Freedom Ltd may reasonably adjust agreed prices for a booked product to reflect an expansion of service scope due to such further development. If such adjustments exceed 5% of the previously agreed price per calendar year, the customer has the right to object to the price adjustment at the time of its intended effective date; this objection must be made in writing within 15 days of notification of the price adjustment. In the event of a valid objection, the price adjustment will not take effect.

    6. Contract Term and Termination
    6.1
    Contracts for real estate listings have the chosen or offered term and commence upon signing the contract or confirming the offer.

    6.2
    For private customers, the contract for real estate listings automatically renews for an indefinite period unless terminated by either party no later than 24 hours before the expiration of the originally agreed term. The listing contract can then be terminated with 24 hours' notice at the end of a cycle corresponding to the original term and beginning with the automatic renewal. If, according to the above provision, a contract term of more than one month remains after the termination notice, the contract ends one month after the termination.

    6.3
    For commercial customers, the contract term, renewal, and termination notice of contracts for real estate listings are determined by the respective offer. Unless otherwise agreed, the contract term is 12 months and begins upon signing the contract. The contract automatically renews for an additional 12 months unless terminated by either party three months before expiration.

    6.4
    The contracts for the Immo-Leads products (Section 3.3 of the General Terms and Conditions), Profi-Leads (Section 3.4 of the General Terms and Conditions), and Profi-Termin (Section 3.5 of the General Terms and Conditions) have the term described in the individual offer. These contracts can be paused at any time. MFVadio.com-Mission Freedom Ltd must be notified of this pause in a timely manner, at least 14 days before the intended pause period, and must specify the period of the intended pause in text form (e.g., by email). No contacts will be delivered during the pause period. The minimum contract term is extended by the pause period. It can be paused once per contract period for a maximum of one month.

    6.5
    The contract term for the property financing service contracts (Section 3.7 of these General Terms and Conditions) is 6 months unless otherwise agreed and begins upon signing the contract. The contract automatically renews for one additional month unless terminated by either party four weeks before expiration.

    6.6
    The contract term, renewal, and termination notice of contracts related to a real estate listing contract or require one for their conclusion are determined by the contract term, renewal, and termination notice of the underlying real estate listing contract unless otherwise agreed.

    6.7
    The termination must be in writing or in a substitute electronic form (§ 126 a BGB - qualified digital signature) to be effective unless otherwise agreed; private customers can also declare termination in text form (e.g., by email) or by using an online termination form (so-called termination button).

    6.8
    The right to extraordinary termination of the contract for good cause remains unaffected.

    7. Right of Withdrawal for Consumers
    You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the date of conclusion of the contract. To exercise your right of withdrawal, you must inform us (MFVadio.com-Mission Freedom Ltd, [insert address], Fax: [insert fax number], Email: [insert email address]) of your decision to withdraw from this contract by a clear statement (e.g., a letter sent by post, fax, or email). You may use the attached model withdrawal form, but it is not mandatory. To meet the withdrawal deadline, it is sufficient that you send your communication regarding your exercise of the right of withdrawal before the withdrawal period has expired.

    Consequences of Withdrawal
    If you withdraw from this contract, we will reimburse all payments received from you, including the delivery costs (except for the additional costs arising from your choice of a different type of delivery than the least expensive standard delivery offered by us) without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will make the reimbursement using the same means of payment as you used for the initial transaction unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of this reimbursement.

    8. Ranking and Sorting
    8.1
    Customers and other users can search for suitable real estate listings through the Platform's search function. The results are sorted by relevance by default unless the searcher chooses to display the results sorted by the other main parameters "latest offers," "lowest price," "highest price," or - if the user specifies a distance to the search location - also "shortest distance." Only offers that meet the search criteria (location, size, number of rooms, price, etc.) are shown to the searcher in each sorting.

    8.2
    Customers can influence the relevant weighting within the standard sorting by inserting certain property types or by booking paid marketing tools (so-called on-top products, OTP) to existing insertions. Further information on the above marketing tools and sorting can be found at [insert URL].

    9. Usage Rights
    9.1
    By posting or uploading content (e.g., texts, photos, videos of listings), customers grant MFVadio.com-Mission Freedom Ltd a simple, spatially unrestricted, and temporally limited right to the contract term to reproduce, distribute, edit, and publicly display the content on the internet and in print. This includes the right to use the content for advertising purposes. The usage rights extend to all internet offerings and social media accounts operated by MFVadio.com-Mission Freedom Ltd under other top-level domains (TLD) than the TLD .de, print products, and other non-MFVadio.com-Mission Freedom Ltd operated offerings that serve to further disseminate and promote the listings, e.g., on the website [insert additional domains] or on websites and in print products of MFVadio.com-Mission Freedom Ltd's partners (so-called multiple placement). MFVadio.com-Mission Freedom Ltd is not obliged to name the author.

    9.2
    By posting or uploading content, the customer simultaneously declares that they hold all necessary usage rights to these contents and are authorized to edit, reproduce, distribute, and publicly display and/or make them perceptible. This particularly includes third-party copyrights on videos, music, and images, but also the right to one's own image of any depicted persons.

    9.3
    Customers and users of the Platform are prohibited from reproducing, downloading, editing, publicly making available, distributing, altering, adapting, translating, creating derivative works from, decompiling, reverse-engineering, disassembling, or otherwise attempting to access the source code of the content of other customers and other Platform content beyond what is required for private use unless explicitly permitted by law.

    9.4
    Regarding real estate evaluation under Section 3.2 of the General Terms and Conditions, the customer receives a simple, non-transferable, and unlimited right to use the obtained evaluation data for internal use ("What is my property worth?"). The commercial use of the evaluation data, whether paid or unpaid, is explicitly excluded and requires the prior approval of MFVadio.com-Mission Freedom Ltd in individual cases.

    10. Liability and Warranty
    10.1
    If MFVadio.com-Mission Freedom Ltd provides services on the Platform free of charge, the legal provisions for donations apply to liability and warranty. Liability is limited to intent and gross negligence per § 521 BGB. No warranty is provided for defects.

    10.2
    MFVadio.com-Mission Freedom Ltd is liable for damages in the use of paid products caused intentionally or through gross negligence, resulting from the absence of a guaranteed quality of the service, due to the breach of essential contractual obligations (so-called cardinal obligations), resulting from a culpable violation of health, body, or life, or for which liability is provided under the Product Liability Act, according to statutory provisions. Cardinal obligations are those contractual obligations whose fulfillment makes the proper execution of the contract possible in the first place, whose compliance the contractual partner regularly trusts, and whose violation endangers the achievement of the contract's purpose. In the event of a breach of a cardinal obligation, liability is limited to such damages that are typically and foreseeably expected to arise in the context of providing services such as the contractual services, as long as the damage is merely due to simple negligence and does not affect life, body, or health. Otherwise, liability - regardless of the legal basis - is excluded both for MFVadio.com-Mission Freedom Ltd and for the fulfillment and vicarious agents of MFVadio.com-Mission Freedom Ltd.

    10.3
    To the extent that warranty claims can exist by the nature of the respective service, the statutory provisions generally apply. However, the warranty period is reduced to one year, except for claims for damages due to material defects, which result from the absence of a guaranteed quality of the service, which result from a culpable violation of health, body, or life, or for which liability is provided under the Product Liability Act. If the user is an entrepreneur and the ordered service is intended for their business, their claims for defects expire after one year from receipt of the goods.

    10.4
    MFVadio.com-Mission Freedom Ltd does not guarantee any special properties (e.g., advertising effectiveness, exposure views), mediation success, or sales and profit improvement for any of the contractual services.

    10.5
    MFVadio.com-Mission Freedom Ltd will make every effort to ensure uninterrupted availability of the Platform. In the event of server operation disruptions, MFVadio.com-Mission Freedom Ltd will endeavor to rectify the situation promptly. Necessary interruptions of server operation will be carried out by MFVadio.com-Mission Freedom Ltd outside of regular business hours (between 21:00 and 6:00 as well as on Sundays and holidays) whenever possible.

    11. Data Protection
    All information on the collection, processing, and use of personal data of customers and other users can be found in the privacy policy of MFVadio.com-Mission Freedom Ltd.

    12. Amendments to These Terms and Conditions
    12.1
    MFVadio.com-Mission Freedom Ltd reserves the right to amend these General Terms and Conditions for private customers at any time, subject to a reasonable notice period. This is done by notifying the amended version of the General Terms and Conditions on a durable medium (e.g., email), indicating the time of the amendments' commencement. The private customer is entitled to object to the amendments within the communicated period. In this case, the previously valid General Terms and Conditions continue to apply.

    12.2
    MFVadio.com-Mission Freedom Ltd reserves the right to amend these General Terms and Conditions for commercial customers at any time, subject to a reasonable notice period of at least 15 days. This is done by notifying the amended version of the General Terms and Conditions on a durable medium (e.g., email), indicating the time of the amendments' commencement. MFVadio.com-Mission Freedom Ltd will allow longer periods in individual cases where necessary due to the technical or business adjustments required by the General Terms and Conditions amendment. Otherwise, the provisions of Article 3, paragraphs 2 and 4 of Regulation (EU) 2019/1150 apply.

    12.3
    The commercial customer is entitled to object to the amendments within the periods mentioned above or communicated in individual cases. In this case, the previously valid General Terms and Conditions continue to apply, and MFVadio.com-Mission Freedom Ltd may terminate one or more affected contractual relationships to the following month's end within four weeks. The commercial customer can waive this period, e.g., by declaring acceptance of the changes or by posting new offers before the period expires.

    12.4
    After the period expires or after waiving this period, the amendments are deemed accepted by the customer. The amended General Terms and Conditions will also be published at [insert URL].

    13. Miscellaneous Provisions
    13.1
    The customer is only entitled to set-off and retention rights if the counterclaims have been legally established or are undisputed. However, contrary to sentence 1, the customer remains entitled to set-off and retention rights if the customer's claim is in a reciprocal relationship to the demand of MFVadio.com-Mission Freedom Ltd.

    13.2
    These General Terms and Conditions are subject to Cypriot law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and Cypriot and European conflict of laws rules, with mandatory consumer protection regulations taking precedence over the choice of law.

    13.3
    For merchants (within the meaning of the German Commercial Code), foundations, or public law entities, the exclusive place of jurisdiction for all disputes arising from or related to the use of MFVadio.com-Mission Freedom Ltd's services or these General Terms and Conditions is Cyprus (EU). MFVadio.com-Mission Freedom Ltd is also willing to cooperate with independent mediators to achieve an out-of-court settlement of any disputes between its customers that could not be resolved through the complaint management system (Complaint Management System under the requirements of the EU Regulation 2019/1150 can be found here: https://platformobservatory.eu/), accessible via [insert URL]). Mediation may also incur costs for both parties, with MFVadio.com-Mission Freedom Ltd bearing a fair and mediator-recommended share on a case-by-case basis; reference is additionally made to Article 12 (4) of EU Regulation 2019/1150. Upon the customer's request, MFVadio.com-Mission Freedom Ltd will provide information on the functioning and effectiveness of mediation before or during mediation.

    A mediation attempt does not affect the customer's right to pursue legal action (e.g., filing a lawsuit).

    13.4
    The contract between the customer and MFVadio.com-Mission Freedom Ltd is not generally recorded in a separate contract text accessible to the customer later as such. The content of the contract arises from these General Terms and Conditions and the subject matter of the contract. The only language available for contract conclusion is German.

    13.5
    The EU Commission has provided an interactive website (OS Platform) for consumers under EU Regulation No. 524/2013 to resolve out-of-court disputes from online legal transactions. The OS Platform of the EU Commission can be found at this link: http://ec.europa.eu/consumers/odr/.
    MFVadio.com-Mission Freedom Ltd does not participate in a voluntary dispute resolution procedure before a German consumer arbitration board. There is no legal obligation to do so.

If we are legally obligated or if it is permitted under data protection law, we will transmit personal data to authorities, such as the police or public prosecutor's office (Art. 6 para. 1 lit. c GDPR). 8. Processing of Applicant Data

We process applicant data solely for the purpose and within the framework of the application process in accordance with the legal requirements. The processing of applicant data takes place to fulfill our (pre-)contractual obligations within the framework of the application process in the sense of Art. 6 para. 1 lit. b GDPR in conjunction with § 26 para. 1 BDSG.

The application process requires applicants to provide us with their applicant data. 9. What Data is Automatically Collected on Our Website?

Through extensions of functionality, we are also able to dynamically adjust parts of the websites and automatically and in real-time design them according to needs. A cookie named utag_main is created to enable the functionality. The tag management system is necessary to provide the service and therefore cannot be disabled.

21.19. TextAny

We use the TextAny service. The provider is TextAny LLC Cyprus: 

On certain pages of our services, you have the option to request free information material. This request is confirmed using an mTAN process. For this purpose, your mobile phone number entered there is transmitted to TextAnywhere GmbH. This serves to generate an SMS, through which you receive a TAN (transaction number). With the TAN, you can be verified as the owner of the respective mobile phone number.

As a registered user, you also have the option of using an mTAN process to prevent unauthorized access to your account. For this purpose, the mobile phone number you enter for the procedure is transmitted to TextAnywhere GmbH. This serves to generate an SMS, through which you receive a TAN (transaction number). With the TAN, you can be verified as the owner of the respective mobile phone number.

21.19.1. Zoom

For our training offerings and digital or hybrid events, their presentation, management, and execution, we use the software Zoom from the external service provider Zoom Video Communications, Inc., 55 Almaden Blvd, Suite 600, San Jose, CA 95113, USA.

This service provider is used by us as a data processor.

If you participate in one of our training offerings or events, we may collect the following data from you:

Your name and email address (provided at registration) Your company name Your IP address Information about how you use our training offerings (e.g., how long you participated, which features you used) We process this data to enable you to access our training offerings, to improve their execution and quality, and to be able to confirm your (successful) participation afterward.

Your name will only be visible to our moderators, but not to other participants. The camera and microphone are always turned off by default; you also cannot activate them. You can only ask questions via the chat. It may be that the name you provided is mentioned in connection with answering your question. We may record training offerings to make them available for later retrieval, for example.

We store this data for the duration of the training offering and afterward as long as necessary to prove your participation and answer any questions or inquiries related to the training offering, but in any case, five years as provided in § 14 Abs. 1 of the Real Estate Agent and Developer Ordinance (MaBV).

We take appropriate technical and organizational security measures to protect your data from loss, misuse, or unauthorized access.

We have entered into a data processing agreement with Zoom, justifying the transfer of your personal data to Zoom, Art. 28 GDPR.

Data processing is necessary for contract fulfillment, the execution of training offerings, Art. 6 (1) lit. b GDPR.

21.19.2. Additional Zoom Processing

Furthermore, Zoom uses some of your personal data for its own purposes. We have no control over this processing and cannot assume responsibility for it. Contractually, Zoom has committed to processing this data only when it is absolutely necessary and proportionate and for one of the following, exhaustively listed purposes:

(a) Directly identifiable data (name, screen name, profile picture, and email address and any personal customer data directly associated with this directly identifiable data) may be processed by Zoom for:

Billing, account and customer relationship management (marketing communication with procurement/sales staff) and related customer correspondence (mailings about, e.g., necessary updates); Compliance with and resolution of legal obligations, including responding to data subject requests whose personal data Zoom processes as a data controller (e.g., website data), tax requirements, agreements, and disputes; Misuse detection, prevention, and protection (e.g., automated scanning for matches with known child sexual abuse material ("CSAM"), virus scanning, and scanning for violations of terms of use (such as copyright infringement, SPAM, and unauthorized actions under the Zoom Community Standards (also known as the "Acceptable Use" policy); (b) Pseudonymized and/or aggregated data (Zoom will anonymize and/or aggregate as much as possible, and pseudonymized and/or aggregated data will not be processed at the individual customer level); for:

Improving and optimizing performance and core functionalities regarding accessibility, privacy, security, and efficiency of the IT infrastructure of services, including zoom.us, explore.zoom.us, and support.zoom.us; Internal reporting, financial reporting, revenue planning, capacity planning, and forecasting modeling (including product strategy); Receiving and using feedback for overall service improvement of Zoom; When Zoom acts as a data controller, Zoom contractually assures us that it will not process your personal data for any purposes other than the above list of legitimate business purposes.

The transmission of this personal data by us to Zoom as a data controller is based on your consent, Art. 6 (1) lit. a GDPR. This can be revoked at any time with effect for the future. Unfortunately, participation in our training offerings will then no longer be possible.

21.19.3. Data Transfers Outside the European Economic Area

Data transfers from the European Economic Area, particularly to the USA, are secured by the EU Standard Contractual Clauses published by the European Commission.

22. What Rights Do I Have Under the GDPR?

As a data subject, you have the right to assert your data subject rights with us at any time. You have the following rights in particular:

You have the right to request information about whether and, if applicable, to what extent we process personal data about you or not. In the event of processing personal data concerning you, you have the right to information about, in particular, the following information: data stored about you, processing purpose(s), data categories, recipients to whom we disclose data, duration of storage. You have the right to request that we correct your data immediately if it is incorrect and/or incomplete. You have the right to request that we delete your personal data immediately. You have the right to revoke consent you have given to us for processing your data at any time. You have the right to restrict the processing of your personal data. You have the right to receive the personal data concerning you that you have provided to us in a structured, commonly used, and machine-readable format and to transmit this data to another controller. Upon request, you will receive free information about all personal data we have stored about you. Of course, you have the opportunity to correct any errors, bring outdated information up to date, or have the stored data deleted. You have the right to object to the processing of your personal data, which is based on Art. 6 (1) letters e) or f) GDPR, at any time for reasons arising from your particular situation, with effect for the future; this also applies to profiling based on these provisions. Cancellation policy

Right of withdrawal
You have the right to withdraw from this contract within fourteen days without giving any reason.

The cancellation period is fourteen days from the day the contract was concluded.
To exercise your right of withdrawal, you must send us (MFRadio.com Property Service, Shop Center 6, 8854 Polis-Chrysochous / Cyprus, Phone: +35799945749, Mobile phone: +35799945749, E-mail: info@mission-freedom.eu) a clear statement (e.g. a letter sent by post or an e-mail) about your decision to withdraw from this contract , inform. You can use the attached sample revocation form for this, but it is not mandatory.

To meet the cancellation deadline, it is sufficient for you to send the communication about exercising your right of cancellation before the cancellation period has expired.

Consequences of revocation
If you withdraw from this contract, we will owe you all payments we have received from you, including delivery costs (except for the additional costs resulting from your choosing a different type of delivery than that offered by us , have chosen cheapest standard delivery), immediately and at the latest within fourteen days from the day on which we received the notification of your cancellation of this contract. For this repayment, we use the same means of payment that you used in the original transaction, unless something else was expressly agreed with you; under no circumstances will you be charged any fees for this repayment.

If you have requested that the services should begin during the cancellation period, you must pay us a reasonable amount, which corresponds to the proportion of the up to the point in time at which you informed us of the exercise of the right of cancellation with regard to this contract, services already provided compared to the total scope of services provided for in the contract.
